Healthcare Transactions Group performs Targeted Acquisition Searches for buyers seeking to expand their operations and offers a number of types of working relationships with potential buyers. Our searches can be nationwide, regional or local or finding critical mass deals or explicit "fill-in" pportunities.
Healthcare Transactions Group can originate, identify and screen prospective acquisition candidates based on client-defined acquisition criteria and preferences, including, but not limited to, target geography, product line, price, size, market, operational competencies, company values and reputation and time line.
Companies in the acquisition mode can work with Healthcare Transactions Group in one of three ways:
- Ad-Hoc Option:
Buyer communicates acquisition strategy and search criteria to Healthcare Transactions Group and if which meets these criteria, Healthcare Transactions Group will present prospects to the company, (as well as to other potential buyers). Buyers will pay Healthcare Transactions Group a Success Fee, calculated as a percentage of the transactions value, only if the transaction closes. However, Healthcare Transactions Group may or may not present the acquisition opportunity to the company, and no exclusivity exists between HTG and any potential buyer. - Preferred Buyer Option:
Buyer communicates acquisition strategy and search criteria to Healthcare Transactions Group and pays Healthcare Transactions Group a one-time retainer fee. For the fee, Healthcare Transactions Group commits to presenting every opportunity that meets target criteria to the buyer. While the opportunity may be presented to other buyers, a Preferred Buyer is assured the opportunity to receive a "first look" and to evaluate every potential deal Healthcare Transactions Group finds which matches their criteria. Healthcare Transactions Group will also take an aggressive proactive approach in locating opportunities consistent with Preferred Buyers' criteria. This ption is essentially a non-exclusive Right of First Refusal. Buyers will pay Healthcare Transactions Group a Success Fee, calculated as a percentage of the transaction value, only if the transaction closes, less the retainer fee paid. - Exclusive Buyer Option:
Buyer and Healthcare Transactions Group enter into a service contract whereby buyer receives an exclusive right of first refusal for defined target opportunities found. Typically, because Healthcare Transactions Group is giving an exclusive right of first refusal to a buyer, the scope of the "deal universe" that the exclusivity applies to his highly defined and prescribed. In addition, HTG will aggressively orchestrate and pursue a targeted and methodical acquisition search on behalf of the buyer. For the exclusive right of first refusal, buyer pays HTG an ongoing retainer for the duration of the engagement. Further, Buyers will pay Healthcare Transactions Group a Success Fee, calculated as a percentage of the transaction value, only upon the closing of a transaction, less the sum of retainer amounts paid.
